Question 11

Organisation à but non lucratif

Dans le passé, l'ADRC a confirmé par voie de décisions anticipées qu'une organisation sans but lucratif (OSBL) pouvait conserver son statut non imposable lorsqu'elle détenait des actions du capital-actions d'une société opérante si les profits générés par cette société opérante étaient utilisés exclusivement dans le cadre des activités sans but lucratif de l'organisation.

Nous comprenons que la politique fiscale sous-jacente aux décisions anticipées décrites ci-dessus a depuis fait l'objet d'une étude au sein de l'ADRC.

Compte tenu de ce qui précède, auriez-vous l'obligeance de nous indiquer si l'ADRC est toujours disposée à rendre une décision anticipée quant au statut non imposable d'une OSBL qui détient des actions du capital-actions d'une société opérante dans la mesure où les profits générés par cette dernière sont utilisés exclusivement dans le cadre des activités sans but lucratif de l'OSBL?

Réponse de l'ADRC

Pour avoir droit à une exemption d'impôt, une organisation qui est un cercle ou une association doit non seulement être constituée uniquement dans des buts non lucratifs, mais elle doit aussi être de fait administrée conformément à ces buts chaque année pour laquelle elle demande une exemption en vertu de l'alinéa 149(1)l)de la Loi de l'impôt sur le revenu (la Loi).

Une organisation qui a droit à une exemption dans une année donnée peut cesser d'y avoir droit dans une année subséquente si ses activités ne sont plus conformes à l'un des buts mentionnés à l'alinéa 149(1)l) de la Loi, si elle modifie ses objectifs de façon à ne plus être constituée conformément à cette disposition ou si encore elle ne remplit pas les autres conditions de cet alinéa.

Le fait qu'une organisation détienne la totalité des actions du capital-actions d'une société imposable ne met pas nécessairement en péril son statut d'OSBL. L'ADRC est disposée à rendre des décisions anticipées confirmant que la détention des actions en elle-même n'empêchera pas l'organisation de respecter les dispositions de l'alinéa 149(1)l) de la Loi.

Cependant, l'ADRC ne peut pas rendre une décision à l'effet qu'une OSBL détenant des actions d'une filiale sera visée par l'alinéa 149(1)l) de la Loi sur l'hypothèse que les profits tirés desdites actions seront utilisés exclusivement dans le cadre des activités sans but lucratif de l'OSBL. La question de savoir si une organisation a été administrée uniquement dans des buts non lucratifs et conformément à ses buts dans une année d'imposition donnée doit se fonder sur les faits pertinents à chaque cas et seul l'examen de toutes les activités de l'organisation pendant l'année en cause permet de décider. Cette détermination ne peut se faire à l'avance ou au cours d'une année donnée, mais seulement à la fin de l'année. Non-profit organization

In the past, the CCRA confirmed through advance rulings that a non-profit organization (NPO) could keep its tax-free status when it held shares of the capital stock of an operating corporation if the profits generated by the operating corporation were used exclusively for the organization's non-profit activities.

We understand that the tax policy behind the aforementioned advance rulings has since been reviewed by the CCRA.

Given the above, could you please indicate whether the CCRA is still prepared to make an advance ruling on the tax-free status of an NPO that holds shares of the capital stock of an operating corporation if the profits generated by the operating corporation are used exclusively for the organization's non-profit activities?

The CCRA's answer

To be eligible for tax-free status, an organization that is a club, society, or an association must not only be organized solely for non-profit purposes but also be actually operated according to these purposes each year for which it requests an exemption under paragraph 149(1)(l) of the ITA.

An organization that is eligible for an exemption in a given year may cease to be eligible in a later year if its activities no longer comply with one of the objectives in paragraph 149(1)(l) of the ITA, if it changes its objectives so as to be no longer organized according to this provision, or if it does not meet the other conditions of that paragraph.

The fact that an organization holds all the shares of the capital stock of a taxable corporation does not necessarily endanger its NPO status. The CCRA is prepared to make advance rulings confirming that holding shares, in itself, will not prevent the organization from meeting the provisions in paragraph 149(1)(l) of the ITA.

However, the CCRA cannot rule that an NPO holding shares of a subsidiary will be subject to paragraph 149(1)(l) of the ITA on the assumption that the profits stemming from the said shares will be used exclusively for NPO's non-profit activities. Whether an organization was operated solely for non-profit purposes and according to its purposes in a given taxation year must be based on the relevant facts in each case, and only a review of all the organization's activities during the year in question would allow this question to be answered. This determination cannot occur in advance or during a given year. It can occur only at the end of a year. Paragraphs 5 to 10 of Interpretation Bulletin IT-496R, Non-Profit Organizations, contain some criteria to help determine whether a corporation is organized and operated for non-profit purposes.
