Paragraphe 256(9) de la L.I.R.

Dans la question 39 de la Table Ronde de Revenu Canada du Congrès 1990 de l'Association canadienne d'études fiscales, l'ADRC avait analysé une situation où les sociétés A et B avaient fusionné le jour où la société A avait acquis le contrôle de la société B. Aucun choix en vertu du paragraphe 256(9) n'avait été effectué relativement à l'acquisition de contrôle de la société B. En conséquence, le contrôle de cette dernière qui avait été acquis à un moment donné de la journée était réputé avoir être acquis au début de cette journée. L'ADRC avait alors référé au paragraphe 9 du Bulletin d'interprétation IT-474R, " Fusions et corporations canadiennes ", en date du 14 mars 1986 et mentionné que la fusion avait lieu au premier instant de la date indiquée sur le certificat de fusion, à moins que ce certificat ne précise un moment particulier. L'ADRC avait donc indiqué que dans la mesure où il n'y avait pas de moment particulier d'indiqué sur le certificat de fusion, la fusion des sociétés A et B avait lieu au premier instant de la date indiquée sur le certificat. Ainsi, comme il s'agissait du même moment où la société A était réputée, selon le paragraphe 256(9) L.I.R., avoir acquis le contrôle de la société B, l'ADRC avait indiqué que la société B n'aurait qu'une fin d'année d'imposition en raison de l'acquisition de contrôle et de la fusion. Est-ce que ceci représente toujours la position de l'ADRC?

Dans une interprétation technique du 2 mars 1990, no. 5-9608, l'ADRC avait analysé une situation où un particulier, détenant la totalité des actions émises et en circulation de la société XCO, disposait d'abord desdites actions en faveur d'une première personne non liée le 1er mai d'une année donnée. Cette même journée, la première personne non liée disposait elle aussi de la totalité des actions émises et en circulation de XCO en faveur d'une seconde personne non liée. Deux acquisitions de contrôle résultaient de ces dispositions d'actions de XCO. Aucun choix en vertu du paragraphe 256(9) n'était effectué relativement à ces acquisitions de contrôle de XCO. En vertu du paragraphe 256(9) L.I.R., les deux acquisitions de contrôle étaient donc réputées avoir lieu au début du 1er mai de l'année donnée. L'ADRC était donc d'avis que ces opérations ne résulteraient qu'en une seule fin d'année d'imposition, cette année d'imposition se terminant dans les circonstances le 30 avril de l'année donnée. Est-ce que ceci représente toujours la position de l'ADRC?

Question 4

Subsection 256(9) of the I.T.A.

In question 39 of the Revenue Canada Round Table at the 1990 Canadian Tax Foundation Conference, the CCRA had analyzed a situation in which corporations A and B had amalgamated on the day when corporation A acquired control of corporation B. No election under subsection 256(9) had been made in relation to the acquisition of control of corporation B. Consequently, control of corporation B, which had been acquired at a particular time of the day, was deemed to have been acquired at the commencement of the day. The CCRA had then referred to paragraph 9 of Interpretation Bulletin IT-474R, "Amalgamations of Canadian Corporations", March 14, 1986, and stated that the amalgamation had occurred at the earliest moment of the date shown on the certificate of amalgamation, unless this certificate stated a particular time. The CCRA therefore indicated that in so far as there was no particular time indicated on the certificate of amalgamation, the amalgamation of corporations A and B had occurred at the earliest moment of the date shown on the certificate. Accordingly, since this was the same time at which corporation A was deemed, pursuant to subsection 256(9) I.T.A., to have acquired control of corporation B, the CCRA had stated that corporation B would have only one year-end as a result of the acquisition of control and the amalgamation. Does this still represent the position of the CCRA?

In a technical interpretation dated March 2, 1990, no. 5-9608, the CCRA had analyzed a situation in which an individual owning all of the issued and outstanding shares of corporation XCO, first sold the shares in favour of a first unrelated person on May 1 of a particular year. On that same day, the first unrelated person also sold all of the issued and outstanding shares of XCO in favour of a second unrelated person. Two acquisitions of control resulted from these sales of XCO shares. No election under subsection 256(9) was made in relation to these acquisitions of control of XCO. Under subsection 256(9) I.T.A., the two acquisitions of control were therefore deemed to have occurred at the commencement of May 1 of the particular year. The CCRA was therefore of the opinion that these transactions would result in only one year-end, this taxation year ending in the circumstances on April 30 of the particular year. Does this still represent the position of the CCRA?
