Coûts accessoires engagés durant la période de construction
Au cours de son premier exercice financier, une société octroie un contrat à un entrepreneur pour la construction d'un bâtiment pour son compte. Pour réaliser son projet de construction, la société a contracté un emprunt à long terme auprès d'une institution financière et a obtenu une garantie de la Société canadienne d'hypothèques et de logement (ci-après "SCHL" ) qui sera en vigueur pendant toute la durée du prêt. Pendant la période de la construction, un financement temporaire est déboursé de façon graduelle par l'institution financière, au fur et à mesure de l'avancement des travaux. Des frais de 100 000 $ sont engagés relativement à la garantie de la SCHL et sont remis à cette dernière au moment où chacun des déboursés est effectué par l'institution financière. Ces frais sont déductibles selon le sous-alinéa 20(1)e)(ii) L.I.R. Une fois les travaux complétés, le financement temporaire fait place au financement à long terme.
Les travaux de construction ont pris fin durant le premier exercice financier (Année 1). Dans le deuxième exercice (Année 2) et le troisième exercice (Année 3), des revenus de location de 50 000 $ et de 10 000 $ sont respectivement réalisés. Dans le quatrième exercice (Année 4) et le cinquième exercice (Année 5) des pertes de location sont encourues.
1. Quel montant des frais de garantie est visé par le paragraphe 18(3.1) L.I.R. pour l'Année 1? Est-ce la totalité ou la portion déductible selon le sous-alinéa 20(1)e)(ii) L.I.R.?
2. Est-ce que la portion des frais de garantie déductible en vertu du sous-alinéa 20(1)e)(ii) L.I.R. pour les années d'imposition subséquentes à l'Année 1 est assujettie au paragraphe 18(3.1) L.I.R.?
Réponse de l'ARC
Le paragraphe 18(3.1) L.I.R. édicte, entre autres, que malgré les autres dispositions de la L.I.R., aucune déduction ne peut être faite dans le calcul du revenu d'un contribuable pour des dépenses qu'il a engagées ou effectuées (à l'exception de certaines dépenses dont celles au paragraphe 20(29) L.I.R.), qu'il est raisonnable de considérer comme des coûts attribuables à la période de construction d'un bâtiment par le contribuable ou pour son compte et liés à cette construction. En vertu du paragraphe 20(29) L.I.R., ces dépenses peuvent être déduites jusqu'à concurrence du revenu provenant de la location de l'immeuble pour l'année.
L'ARC considère qu'une dépense est attribuable à la période de construction d'un bâtiment lorsque la dépense ainsi engagée se rapporte à la période de construction et ce, indépendamment du fait qu'elle a été engagée pendant la période de pré-construction ou pendant ou après la construction du bâtiment. Cette dépense sera liée à la construction du bâtiment si elle est encourue en raison même de la construction.
Selon l'alinéa 18(3.1)b) L.I.R., dans la mesure où il serait déductible par ailleurs dans le calcul du revenu du contribuable pour l'année, le montant de la dépense doit être ajoutée au coût ou au coût en capital du bâtiment. Nous sommes d'avis que l'expression "dans la mesure où il serait déductible par ailleurs dans le calcul du revenu du contribuable pour l'année" vise une dépense qui serait par ailleurs déductible dans le calcul du revenu si ce n'était du paragraphe 18(3.1) L.I.R.
Ainsi, seulement la portion des frais de garantie qui est déductible selon le sous-alinéa 20(1)e)(ii) L.I.R. pour une année donnée sera visée par le paragraphe 18(3.1) L.I.R. dans ladite année à moins que le paragraphe 20(29) L.I.R. ne s'applique.
Dans la situation donnée, un montant de 20 000 $ par année serait par ailleurs déductible selon le calcul du sous-alinéa 20(1)e)(iii) L.I.R pour les Années 1 à 5. Dans l'Année 1, l'Année 4 et l'Année 5, aucune déduction ne sera accordée à la société pour chaque tranche de 20 000 $ conformément à l'alinéa 18(3.1)a) L.I.R. et ces montants devront être capitalisés au coût ou au coût en capital du bâtiment en vertu de l'alinéa 18(3.1)b) L.I.R. Pour l'Année 2, le montant de 20 000 $ sera déductible en vertu de l'alinéa 20(1)e) L.I.R. par l'application du paragraphe 20(29) L.I.R. Quant à l'Année 3, un montant de 10 000 $ sera déductible en vertu de l'alinéa 20(1)e) L.I.R. en raison du paragraphe 20(29) L.I.R. et le solde de 10 000 $ ne sera pas déductible en vertu de l'alinéa 18(3.1)a) et devra être capitalisé au coût ou au coût en capital du bâtiment en vertu de l'alinéa 18(3.1)b) L.I.R.

Soft Costs Incurred During a Construction Period
In its first fiscal period, a corporation awards a contract to a contractor to construct a building on its behalf. For the construction project, the corporation takes out a long-term loan with a financial institution and obtains a guaranty from the Canada Mortgage and Housing Corporation (hereinafter "CMHC") that would apply to the duration of the loan. During the construction period, temporary financing is gradually paid out by the financial institution as the work is completed. Fees totalling $100,000 are incurred for the CMHC guaranty and are paid to the latter when each payment is made by the financial institution. These fees are deductible under subparagraph 20(1)(e)(ii) of the ITA. Once the work is completed, temporary financing is replaced by long-term financing.
The construction work ends in the first fiscal period (Year 1). In the second fiscal period (Year 2) and third fiscal period (Year 3), rental income of $50,000 and $10,000 is earned, respectively. In the fourth fiscal period (Year 4) and fifth fiscal period (Year 5), rental losses are incurred.
1. How much of the guaranty fees is subject to subsection 18(3.1) of the ITA for Year 1? The entire amount or the portion deductible under subparagraph 20(1)(e)(ii) of the ITA?
2. Is the portion of guaranty fees deductible under subparagraph 20(1)(e)(ii) of the ITA for the taxation years after Year 1 subject to subsection 18(3.1) of the ITA?
CRA Response
Subsection 18(3.1) of the ITA states, among other things, that, notwithstanding any other provisions of the ITA, no deduction shall be made in computing a taxpayer's income in respect of any outlay or expense made or incurred by the taxpayer (other than certain expenses, including those in subsection 20(29) of the ITA) that can reasonably be regarded as a cost attributable to the period of the construction of a building by or on behalf of the taxpayer and relating to the construction. Under subsection 20(29) of the ITA, such expenses can be deducted up to the amount of rental income from the building for the year.
The CRA considers an expense to be attributable to the period of construction of a building when that expense is related to the construction period, irrespective of whether it is incurred during the pre-construction period or during or after construction of the building. The expense is related to the construction of the building if it is incurred as a result of the construction.
Under paragraph 18(3.1)(b) of the ITA, the amount of such an expense shall, to the extent that it would otherwise be deductible in computing the taxpayer's income for the year, be included in computing the cost or capital cost of the building. We are of the opinion that the expression "to the extent that it would otherwise be deductible in computing the taxpayer's income for the year" refers to an expense that would be otherwise deductible from revenue were it not for subsection 18(3.1) of the ITA.
Only the portion of the guaranty fees that is deductible under subparagraph 20(1)(e)(ii) of the ITA for a given year would be subject to subsection 18(3.1) of the ITA in that year unless subsection 20(29) of the ITA applies.
In the given situation, an amount of $20,000 per year would be deductible using the calculation in subparagraph 20(1)(e)(iii) of the ITA for Years 1 to 5. In Year 1, Year 4 and Year 5, no deduction would be granted to the corporation for every $20,000, in accordance with paragraph 18(3.1)(a) of the ITA and those amounts must be capitalized with the cost or capital cost of the building under paragraph 18(3.1)(b) of the ITA. In Year 2, $20,000 would be deductible under paragraph 20(1)(e) of the ITA through application of section 20(29) of the ITA. In Year 3, $10,000 would be deductible under paragraph 20(1)(e) of the ITA as a result of subsection 20(29) of the ITA and the remaining $10,000 would not be deductible under paragraph 18(3.1)(a) and must be capitalized with the cost or capital cost of the building under paragraph 18(3.1)(b) of the ITA.
