Position Adoptée: Le paragraphe 75(2) ne s'appliquera pas à l'égard des ces montants et ne réputera que le revenu provenant de ces montants est celui de la société. Subsection 75(2) will not apply in respect of those amounts et will not deemed the income earned on those amounts as being the income of the corporation.
Raisons: Le montant reçu à titre de dividendes est le revenu auquel donnent droit les actions qui ne sont pas sujettes au paragraphe 75(2). The amount received as a dividend represents the income arising from the rights attached to the shares which were not subject to subsection 75(2). The amount received at the time of the acquisition or the redemption of the shares represents a substituted property for a property that was not subject to subsection 75(2).

Souscription d'actions par une fiducie suivie du versement de dividendes et de l'achat de gré à gré des actions - Paragraphe 75(2) L.I.R.
Le 9 mars 2007, en réponse à la demande d'interprétation technique de l'APFF portant le numéro 2006-021850, l'ARC a fait part de la révision de la position qu'elle avait énoncée lors des deux dernières tables rondes concernant l'application du paragraphe 75(2) L.I.R. suite à la souscription d'actions d'une société.
L'ARC est maintenant d'avis que le paragraphe 75(2) L.I.R. ne devrait pas trouver application lorsqu'une fiducie souscrit à des actions d'une société pour une contrepartie égale à leur juste valeur marchande et ce, nonobstant le fait que la société émettrice des actions soit bénéficiaire ou susceptible de devenir bénéficiaire de la fiducie. Cette nouvelle position est basée sur le fait que le paragraphe 75(2) ne devrait trouver application qu'à l'égard d'une personne qui avait la propriété du bien avant que ce dernier ne soit détenu par une fiducie.
Est-ce que le paragraphe 75(2) L.I.R. commencerait à s'appliquer à l'égard de l'argent que la société verse à titre de dividendes sur les actions souscrites par la fiducie dans la situation décrite au paragraphe précédent?
De même, est-ce que le paragraphe 75(2) L.I.R. commencerait à s'appliquer à l'égard de l'argent reçu par la fiducie lors de l'achat de gré à gré ou du rachat par la société des actions souscrites par la fiducie dans la situation précédemment décrite?
Réponse de l'ARC
Bien que l'argent reçu par la fiducie suite au versement de dividendes sur les actions souscrites par la fiducie ou le montant reçu lors de l'achat de gré à gré ou du rachat desdites actions puisse revenir éventuellement à la société, il ne nous apparaît pas qu'il s'agit d'une condition de détention de ces biens. Ces montants auraient été reçus même s'ils ne pouvaient pas revenir à la société car dans le cas des dividendes versés sur les actions, il s'agit d'un revenu auquel donnent droit les actions (qui n'étaient pas visées par le paragraphe 75(2) L.I.R.) de la fiducie et dans le cas du montant reçu lors de l'achat de gré à gré ou du rachat par la société des actions de la fiducie, il s'agit d'un bien substitué aux actions à l'égard desquelles le paragraphe 75(2) L.I.R. ne s'appliquait pas. Le paragraphe 75(2) L.I.R. ne devrait donc pas s'appliquer à l'égard du revenu tiré d'un tel revenu de dividendes ni à l'égard du montant reçu lors de l'achat de gré à gré ou du rachat par la société des actions souscrites par la fiducie.

Subscription of Shares by a Trust Followed by a Payment of Dividends and the Acquisition of the Shares - Subsection 75(2) of the ITA
On March 9, 2007, in response to the technical interpretation request number 2006-021850 from the APFF, the CRA disclosed the revision of the position that it had stated during the last two round tables relating to the application of subsection 75(2) of the ITA in case of a subscription of shares of a corporation.
CRA's view is now that subsection 75(2) of the ITA should not apply when a trust subscribes to shares of a corporation for consideration equal to their fair market value, notwithstanding the fact that the corporation whose shares were issued is a beneficiary or may become a beneficiary of the trust. This new position is based on the fact that subsection 75(2) of the ITA should apply only to a person who owned the property before it was held by the trust.
Would subsection 75(2) of the ITA apply with respect to dividends paid in cash by the corporation on the shares subscribed by the trust in the situation described in the previous paragraph?
Similarly, would subsection 75(2) of the ITA apply with respect to the money received by the trust at the time of the acquisition or the redemption by the corporation of the shares subscribed by the trust in the situation previously described?
CRA Response
Although the money received by the trust in respect of the payment of dividends on the shares subscribed by the trust or the amount received at the time of the acquisition or the redemption of the aforesaid shares could possibly revert to the corporation, it does not seem that it is a condition of holding these properties. These amounts would have been received even if they could not revert to the corporation because in the case of the dividends paid on the shares, the amounts received represent the income arising from the rights attached to the shares (which were not subject to subsection 75(2) of the ITA) of the trust and in the case of the amount received at the time of the acquisition or the redemption by the corporation of the shares of the trust, it represents a substituted property for the shares in respect of which subsection 75(2) of the ITA did not apply. Therefore, subsection 75(2) of the ITA should not apply in respect of income from such dividend income or in respect of the amount received at the time of the acquisition or the redemption by the corporation of the shares subscribed by the trust.
